GENERAL TERMS AND CONDITIONS
These general conditions apply to all professional services provided by Costaluz Lawyers and are supplementary to any specific agreement entered into between Costaluz Lawyers and the Client (the “Proposal”), which shall prevail over these terms in case of any discrepancy.
Scope of Application
The parties involved in the legal service relationship are Costaluz Lawyers and the Client. These services are understood to be exclusively for the Client and cannot be transferred to third parties or used by persons other than the Client, unless expressly authorised in writing by Costaluz Lawyers.
Services
Costaluz Lawyers will provide the Client with the services specified in the Proposal issued for each specific task or matter. Any modification to the Proposal must be agreed upon between Costaluz Lawyers and the Client and reflected in writing.
The decision regarding the execution, follow-up, or implementation of advice, opinions, or recommendations provided by Costaluz Lawyers within the scope of the Services is the sole responsibility of the Client, who assumes full responsibility for their actions.
Fees and Expenses
The fees for providing Services to the Client will be those established in the Proposal sent to the Client, according to the quantification criteria set out therein.
Unless otherwise stated, the estimated or quoted fees are net of Value Added Tax and any other applicable indirect taxes, which will be included on the invoice as separate items.
The fees do not include expenses incurred by Costaluz Lawyers while providing the Services, which the Client must reimburse.
Any other services, distinct from and complementary to the Services (such as court agents, notaries, registries, or public announcements, among others) will be contracted and paid for by the Client. However, such services may be contracted and paid for by Costaluz Lawyers on behalf of the Client, provided the Client has made an advance payment at Costaluz Lawyers’ request. In no case will Costaluz Lawyers be obliged to advance or provide funds to the Client or make payments on behalf of the Client without prior agreement.
The advance payments or deposits made by the Client will be used by Costaluz Lawyers to pay amounts on behalf of the Client. The Client expressly authorises Costaluz Lawyers, after notifying the Client, to allocate the advance payment or deposit to any amount owed by the Client for fees or expenses, provided that such an amount is liquid, due, and payable.
Fees and expenses must be paid even if the operation or matter to which the Services refer is unsuccessful.
The Client’s obligation to pay fees and expenses to Costaluz Lawyers is independent of any right the Client may have against third parties for the Services provided. Therefore, in litigation or legal matters, a ruling for costs against the opposing party does not exempt or release the Client from paying the applicable fees and expenses to Costaluz Lawyers.
Refund Policy
Right of Withdrawal
The Client will have a maximum period of fourteen (14) working days from the date of contracting the Service to withdraw, fully or partially, from the Service, in accordance with applicable law.
After the 14-day period has expired, Costaluz Lawyers will not accept returns for withdrawal or cancellations of Services.
If the Client requests withdrawal within the 14-day period and Costaluz Lawyers has begun providing the service, the percentage of the advance payment for which services have not been performed will be refunded.
Withdrawal from the contract for a Service must ALWAYS be made in writing to web@costaluzlawyers.com and within the established period of fourteen (14) working days.
Refund of Amounts
Provided the Client has followed the procedure and met the requirements, Costaluz Lawyers will refund the amount paid by the Client for the requested services, less any return costs and/or the corresponding percentage for the degree of service execution.
The refund will be made through the same or similar payment method used by the Client for the purchase, within seventy-two (72) hours of the refund request. The application of the refund to the Client’s account or card depends on the card and the issuing entity. The time for the refund to be processed will be up to seven (7) calendar days for debit cards and up to thirty (30) calendar days for credit cards.
Information and Documentation
Costaluz Lawyers is obliged to safeguard the confidentiality of all information and documentation received from the Client that is not in the public domain and may only disclose it with the Client’s authorisation or by order of any administrative, judicial, or legally authorised authority. When Costaluz Lawyers outsources work to service providers for text processing, photocopying, translation, or other services, it will ensure the confidentiality of the Client’s information and documentation by requiring the providers to sign a confidentiality agreement.
The confidentiality obligation of Costaluz Lawyers regarding the information and documentation received from the Client will not apply to the Client’s contacts or other professional advisors involved in the same matter, unless the Client indicates or sets a prior restriction to the contrary.
Liability
Costaluz Lawyers’ potential liability will only be towards the Client. Costaluz Lawyers shall not be liable for any damages caused to third parties as a result of the Client’s use of the Services outside their intended purpose, unless such use has been expressly authorised by Costaluz Lawyers, in which case Costaluz Lawyers’ liability will be subject to the agreed terms.
Applicable Law
The relationship between the Client and Costaluz Lawyers is expressly governed by Spanish law. To resolve any disputes or claims arising from the interpretation or execution of the legal relationship between the Client and Costaluz Lawyers, both parties, with express waiver of any other jurisdiction that may apply and without prejudice to mandatory legal rules on jurisdiction, voluntarily submit to the Courts of Algeciras.
